Welcome to KidProsper. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "User", or "Parent"), and KidProsper ("KidProsper", "we", "us", or "our"), concerning your access to and use of the KidProsper mobile applications, websites, APIs, and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you expressly agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

1. Eligibility and Account Security

1.1 Age and Guardian Requirement: The Services are directed exclusively to adults. By using KidProsper, you represent and warrant that:

  • You are at least eighteen (18) years of age.

  • You are the legal parent or authorized legal guardian of any child whose information you add to the platform.

  • You have the legal capacity to enter into these Terms.

1.2 Account Creation: You must create an account (e.g., via Google or Apple Sign-In) to access the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. KidProsper reserves the right to suspend, restrict, or terminate accounts suspected of unauthorized use or belonging to minors.

2. Nature of the Services (Medical & Diagnostic Disclaimers)

2.1 Educational Purpose Only: KidProsper is a "Child Intelligence OS" designed to provide educational insights, personalized activities, and parenting support based on observational parameters.

2.2 Not a Medical Device or Clinical Service: You expressly acknowledge and agree that KidProsper is:

  • NOT a medical device.

  • NOT a clinical, psychiatric, or psychological testing platform.

  • NOT intended to diagnose, treat, cure, or prevent any medical or psychological condition (including, but not limited to, ADHD, Autism Spectrum Disorder, Depression, Anxiety, or Learning Disabilities).

2.3 AI Recommendations & Parental Responsibility: The KidProsper Coach and all platform recommendations are generated by artificial intelligence. These outputs are probabilistic and informational only. Parents acknowledge and agree that they retain sole responsibility and decision-making authority regarding their children, including any actions taken based on recommendations, assessments, Growth Blueprints, KP Scores, activities, habits, or AI-generated outputs. 2.4 Beta Features: KidProsper may offer beta, preview, or experimental features from time to time. Such features are provided "as-is" and may be modified, suspended, or discontinued at any time without liability.

3. Subscriptions and Payments

3.1 Free and Premium Tiers: KidProsper offers both a "Free Plan" and a "Premium Membership." The specific features accessible under each tier are detailed within the application and are subject to change. 3.2 Billing and Auto-Renewal: If you purchase a Premium Membership, you authorize KidProsper (via third-party payment processors such as Apple or Google) to charge the applicable subscription fees to your designated payment method. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing cycle. 3.3 Refunds: Refund requests are governed by the policies of the respective App Store (Apple App Store or Google Play Store) where the purchase was made. KidProsper does not process refunds directly for in-app purchases.

4. User Content and Child Data

4.1 Your Data: You retain ownership of the personal data and assessment responses you provide to KidProsper ("User Content"). 4.2 License to KidProsper: By submitting User Content, you grant KidProsper a worldwide, non-exclusive, royalty-free license to host, store, process, and analyze this data strictly for the purpose of providing, improving, and securing the Services, in accordance with our Privacy Policy. 4.3 Data Deletion: You may request the deletion of your account or your child’s profile at any time. All data deletion processes, including our 30-day soft-delete grace period, are governed by the KidProsper Privacy Policy.

5. Acceptable Use Policy

5.1 Prohibited Activities: You agree not to use the Services to:

  • Circumvent, disable, or interfere with security-related features of the Services.

  • Reverse engineer, decompile, or attempt to extract the source code or proprietary algorithms of the KidProsper Intelligence Engine (KIE), KP Score, or AI Coach.

  • Submit false, misleading, or unauthorized data regarding a child.

  • Attempt to prompt or manipulate the KidProsper AI Coach into providing medical diagnoses or inappropriate content.

  • Engage in any automated data extraction (scraping, data mining) from the platform.

5.2 Export Controls & Sanctions: You may not use the Services in violation of applicable export control or sanctions laws.

6. Intellectual Property Rights

Unless otherwise indicated, the Services and all source code, databases, proprietary algorithms (including the KP Score and Growth Blueprint framework), functionality, software, UX/UI designs, audio, video, text, photographs, and graphics on the Services (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by KidProsper and are protected by copyright and trademark laws. You are granted a limited, non-transferable license to access and use the Services for your personal, non-commercial use.

7. Third-Party Integrations

The Services may contain links to or integrate with third-party websites, payment processors, or authentication providers (e.g., Apple, Google). KidProsper does not control and is not responsible for the content, privacy policies, or practices of any third-party services.

8. Term and Termination

8.1 Termination Rights: These Terms shall remain in full force and effect while you use the Services. We reserve the right to suspend, restrict, or terminate your access to the Services, without notice or liability, for any reason, including breach of these Terms. 8.2 Survival Clause: The provisions relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Data Usage, and Dispute Resolution shall survive termination of these Terms.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, KIDPROSPER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE AI OUTCOMES, KP SCORES, OR DEVELOPMENTAL BLUEPRINTS WILL BE COMPLETELY ACCURATE, RELIABLE, OR ERROR-FREE.

10. Limitation of Liability

IN NO EVENT WILL KIDPROSPER, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF KIDPROSPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

11. Indemnification

You agree to defend, indemnify, and hold harmless KidProsper, its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of:

  • Your use of the Services.

  • Your violation of these Terms.

  • Your submission of inaccurate, false, or unauthorized child information.

  • Decisions made or actions taken based upon AI-generated recommendations, KP Scores, or Growth Blueprints.

12. Force Majeure

KidProsper shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, internet failures, governmental actions, labor disputes, cyberattacks, or interruptions affecting third-party providers.

13. Governing Law and Dispute Resolution

13.1 Governing Law: These Terms and your use of the Services shall be governed by and construed in accordance with the laws of [Insert Jurisdiction/Country/State], without regard to its conflict of law principles. 13.2 Informal Resolution: To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms, you and KidProsper agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating formal proceedings. 13.3 Class Action Waiver: Subject to applicable law, disputes shall be brought individually and not as part of a class action, consolidated action, or representative proceeding.

14. Business Transfers

KidProsper reserves the right to transfer its rights and obligations under these Terms, as well as any personal information collected, in connection with any merger, acquisition, financing, sale of assets, or corporate reorganization.

15. Modifications to the Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time. We will alert you about any material changes by updating the "Last Updated" date of these Terms, and you may be required to affirmatively accept the new Terms to continue using the Services.
